These Terms & Conditions (“Terms”) apply to californiacontractorllc.com and to wholesale order requests submitted to CALIFORNIA CONTRACTOR LLC (“Company,” “we,” “our,” or “us”). By using the website or submitting an order request, you agree to these Terms to the extent they apply to your activity. If you are acting for a company or other organization, you represent that you are authorized to provide the information and submit the request on its behalf.
1. Website purpose and permitted use
This site is a wholesale catalog and business-order platform. It is designed to help retailers, resellers and other commercial purchasers review products, minimum order quantities and unit pricing, then submit business information for order review. You may use the website for legitimate browsing, ordering and business communications.
You may not intentionally interfere with the website, attempt unauthorized access, introduce malicious code, submit fraudulent information, impersonate another person or business, use automated systems in a way that materially burdens the service, or use website content to misrepresent an affiliation with CALIFORNIA CONTRACTOR LLC.
2. Business-buyer information
You are responsible for providing accurate and current contact, business, delivery and tax-related information. We may rely on the information submitted when reviewing pricing, shipping, resale documentation and order feasibility. If information changes before fulfillment, notify us promptly.
Submission of a resale certificate number does not by itself guarantee tax-exempt treatment. We may request supporting documentation or decline to apply an exemption if required information is incomplete, inconsistent or cannot reasonably be validated.
3. Order requests, review and acceptance
Clicking “Submit Wholesale Order” sends an order request for review. It does not, by itself, guarantee product availability, reserve inventory, fix freight cost or create an unconditional duty to ship. We may review quantities, stock, packaging, minimums, destination, delivery requirements, pricing accuracy, tax status and payment terms before accepting the order.
An order may be accepted through a final invoice, written confirmation, approved purchase-order acknowledgment, payment instruction or other clear business communication. We may decline, modify or cancel an order request before acceptance if inventory is unavailable, a product listing or price contains an error, delivery is impractical, payment cannot be approved, required documentation is not supplied, or the transaction presents an unreasonable risk of fraud or loss.
Important: keep the final invoice, approved purchase-order terms and written order confirmation. If those documents conflict with a general website description, the specific accepted commercial terms for the order control to the extent permitted by law.
4. Wholesale pricing, quantities and taxes
Unless a listing states otherwise, displayed prices are merchandise unit prices associated with the listed minimum order quantity (“MOQ”). A product sold as a pack may have a pack-level price and MOQ. The cart may adjust quantities to the listed wholesale increment.
Displayed merchandise totals do not automatically include freight, special handling, accessorial delivery fees, sales tax, duties or other amounts that depend on the transaction. Applicable tax treatment is determined from available information and legal requirements at the time of order review.
We may correct obvious typographical, calculation or system errors before acceptance. We do not intentionally advertise a price we do not intend to honor, but wholesale catalogs can contain mistakes. If a material price error is discovered, we may offer the corrected price or cancel the affected item before the order is accepted.
5. Payment preferences and purchase orders
The website may allow a buyer to select a preferred method such as invoice/ACH, wire or purchase order. Selecting a preference is not approval of credit terms. Purchase orders are subject to acceptance, and any payment deadline, credit limit or other term must be confirmed separately.
Do not send card numbers, banking passwords or other highly sensitive financial credentials in a general contact message or order note. If electronic payment is arranged, follow the secure payment instructions specifically provided for the accepted order.
6. Product descriptions, images and specifications
We aim to present useful catalog information, but wholesale products can vary by manufacturer, production run, packaging or available variant. Website photography may be representative rather than an image of the exact unit that will be supplied. Colors can also appear differently on screens.
Before relying on a specific size, material, electrical specification, included accessory, safety feature, package count or compatibility requirement, ask for confirmation if the detail is important to your intended resale or end use. Product names and short descriptions are not intended to replace manufacturer instructions, labels, warnings or technical documentation.
Buyers are responsible for evaluating whether products are suitable and lawful for their intended market, sales channel and customer base, including any labeling, marketplace, age-grade or regulatory obligations that apply to the buyer’s resale activity.
7. Availability, substitutions and discontinued items
Inventory is subject to change. We will not knowingly substitute a materially different product without communicating the change, but packaging updates or commercially reasonable variations may occur. If an ordered item is unavailable, we may propose a replacement, revised quantity, backorder or cancellation of the affected line. A substitution requires buyer acceptance when it materially changes the agreed item.
8. Shipping, freight and delivery
Wholesale shipping may be handled by parcel service, less-than-truckload freight, full truckload or another appropriate method. Charges depend on shipment size, weight, destination, carrier availability and services such as residential delivery, lift-gate, inside delivery or delivery appointment.
Delivery dates are estimates unless an accepted order expressly states a guaranteed service. Buyers should provide accurate delivery information and ensure the location can receive the shipment. Additional carrier charges caused by incorrect addresses, reconsignment, storage, redelivery, refused freight or unavailable receiving access may be charged to the buyer where appropriate.
See our Shipping & Delivery Policy for more information about receiving, damage documentation and delivery planning.
9. Inspection, shortages and transit damage
Buyers should inspect shipments promptly. Visible damage or carton shortages should be noted with the carrier when possible, and supporting photographs and shipping documents should be preserved. Concealed damage or quantity discrepancies should be reported as soon as reasonably practical so the matter can be reviewed while records and packaging are available.
Failure to report an issue promptly may make carrier or supplier investigation more difficult, but nothing in these Terms eliminates a non-waivable right under applicable law.
10. Returns, cancellations and refunds
Wholesale returns require review and, when approved, return instructions or authorization. Do not send products back without approval. Eligibility may depend on timing, product condition, packaging, whether the goods were special-order or final-sale, and whether the issue is a verified defect, damage or shipping error.
Order cancellation requests should be made as soon as possible. Once an accepted order has been packed, transferred to a carrier, specially sourced or otherwise committed, cancellation may be unavailable or may involve costs already incurred. Full return details are provided in the Refund & Return Policy.
11. Intellectual property and catalog content
The CALIFORNIA CONTRACTOR LLC name, original website text, site layout, graphics and other original materials are protected to the extent provided by applicable intellectual-property law. Product names, third-party trademarks and representative product photography may belong to their respective owners and are used only as appropriate for catalog identification or presentation.
You may print or save reasonable portions of the site for internal purchasing purposes. You may not copy the site in a way that falsely suggests ownership, endorsement or affiliation, or remove notices from materials where those notices are required.
12. Disclaimers
The website is provided on an “as available” basis. We do not promise that every page will be uninterrupted or error-free at all times. Catalog information is provided for wholesale purchasing convenience and is subject to confirmation. To the extent permitted by law, implied warranties regarding the website itself are disclaimed.
Product warranties, if any, may depend on the specific manufacturer, item and accepted transaction. Nothing on a general catalog page creates an additional written warranty unless expressly stated in the accepted order documentation.
13. Limitation of liability
To the maximum extent permitted by applicable law, CALIFORNIA CONTRACTOR LLC will not be liable for indirect, incidental, punitive, special or consequential damages arising solely from website use or an affected order, including loss of anticipated profit, loss of business opportunity or marketplace suspension, when such damages are legally excludable.
Where a limitation is permitted, aggregate liability relating to a specific accepted order will not exceed the amount paid to us for the goods directly giving rise to the claim. This limitation does not apply to liability that cannot legally be limited or excluded.
14. Indemnity for misuse
To the extent permitted by law, a user who intentionally misuses the website, violates applicable law, infringes third-party rights through its resale activity or provides fraudulent transaction information is responsible for claims and reasonable costs resulting from that conduct. This provision is not intended to shift responsibility for our own unlawful conduct.
15. Events outside reasonable control
Neither party is responsible for delay caused by events beyond reasonable control, such as severe weather, carrier interruption, port or transportation disruption, government action, labor interruption, supplier failure, cyberattack, utility outage or natural disaster, provided the affected party acts reasonably under the circumstances. This section does not excuse payment obligations for goods already delivered and accepted.
16. Governing law and disputes
These Terms are governed by applicable federal law and the laws of the State of California, without applying conflict-of-law rules that would require another jurisdiction’s law. Any mandatory consumer or statutory right that cannot lawfully be waived remains unaffected. Because our website is intended primarily for business buyers, commercial disputes should first be raised with us in writing so the parties can attempt practical resolution.
17. Changes and severability
We may update these Terms as the website, catalog or business process changes. The effective date indicates the current published version. If a provision is found unenforceable, the remaining provisions continue to apply to the extent permitted by law. A failure to enforce one provision on one occasion does not automatically waive future enforcement.
